This example of a high-value board meeting agenda is part of our “Boards: Preparation, Process & Meetings” series.
Instructions
The Board Chair and Company CEO or President should initially create the agenda for the next board meeting by considering the core issues facing the business and how the Board can help address those issues, while also providing the oversight that the owners require.
Optimally, structure the meeting time around the following:
- Past: No more than 25% of the total meeting time.
- Present: No more than 25% of the total meeting time.
- Future: Allow 50% of the meeting time for discussion of the future implications of the company’s business model in the current and anticipated future environment.
Allow significant work to take place in committees so that the full Board can hear the committee reports and have confidence that committee members have handled those more tactical matters appropriately. This also creates more time on the full Board agenda for discussions about future strategy and risk mitigation.
Finally, there should always be an Executive Session to allow non-employee Directors to share their thoughts without Management present. This input can then be synthesized by the Chair and brought back to Management in a proactive manner.
